01Agreement and eligibility

These Terms and the Privacy Policy form a binding agreement between you and Portunio (“Portunio,” “we,” “us,” or “our”) for the website, public addresses, account areas, opportunity submission and qualification flows, messages, share assets, and related services (the “Service”). By accessing or using the Service, creating an account, publishing a profile, or submitting an opportunity, you accept this agreement. If you do not agree, do not use the Service.

You must be at least 18 and legally able to enter this agreement. If you use Portunio for an organization, you represent that you are authorized to bind it, and “you” includes that organization. The Service is international, but you may use it only where lawful; you are responsible for laws that apply to you, your content, and your opportunity.

02What Portunio provides

Portunio lets a receiver publish an opportunity address and current attention preferences. A sender can present an opportunity, answer follow-up questions, provide public professional context and evidence, verify a working contact channel, and—if the opportunity is routed to the receiver—continue in a private thread.

Portunio structures and qualifies information; it is not an agent, recruiter, broker, fiduciary, marketplace guarantor, employer, or party to any relationship or transaction between users. Portunio does not promise that an opportunity will be submitted, delivered, viewed, accepted, answered, accurate, suitable, or successful. A receiver may explore, save, pass, delegate, or take no action.

03Accounts, verification, and public addresses

You are responsible for activity under your account except to the extent caused by Portunio’s breach of duty. We may require re-verification or additional information when reasonably necessary for security, integrity, or compliance.

• Provide accurate current information, use an email account you control, protect magic links and authenticated devices, and notify security@portunio.com promptly of suspected compromise.
• A working-contact check confirms reachability only. Social sign-in or retrieval of a public professional profile does not necessarily establish legal identity, ownership of that profile, authority, reputation, or trustworthiness.
• A sender account does not automatically create a public address. Publishing a receiver address is a separate choice. Public handles and fields can be viewed, indexed, copied, and shared by others.
• You may not transfer an account, impersonate someone, register a misleading address, evade a suspension, or use authentication material belonging to another person.

04Your content and permissions

“Your Content” includes profiles, preferences, pitches, answers, evidence, source URLs, files, messages, corrections, and feedback you provide. You keep your ownership rights. You represent that Your Content is accurate to the best of your knowledge, is not deceptive, and that you have all rights, permissions, and lawful bases needed to submit it and allow the uses in these Terms.

You grant Portunio a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, analyze, translate, create technical or analytical derivatives from, display, transmit, and otherwise use Your Content only as reasonably necessary to provide, secure, moderate, support, and improve the Service and to comply with law. This license lasts while the content is stored for those purposes. Public-profile content may be displayed publicly; opportunity content is shared according to the stage and visibility shown in the Service.

You may not upload confidential, proprietary, personal, or sensitive information unless you are authorized to disclose it and Portunio is an appropriate service for it. Do not submit passwords, financial account data, government identifiers, health records, or highly sensitive personal data. Feedback about the Service may be used without restriction or payment, but we will not publicly identify you as its source without permission.

05AI assistance and public information

Portunio uses automated systems and generative AI to ask questions, summarize, classify, compare an opportunity with the receiver’s stated preferences, organize public professional context and evidence, identify uncertainty, recommend routing, detect potential misuse, and generate share copy. Inputs may be processed by contracted AI and infrastructure providers as described in the Privacy Policy.

AI and derived outputs are probabilistic, can reflect errors or bias, and must not be treated as verified fact, legal advice, professional advice, or a guarantee. Check important information at its source. Portunio does not create a universal score for a person, does not treat public profile data as proof of identity, and keeps a receiver’s judgment final.

Portunio is not approved for solely automated high-impact decisions. You must not use it to make or materially determine eligibility, selection, ranking, or access in employment, worker management, credit, lending, housing, insurance, healthcare, education admissions, government benefits, legal services, or similarly significant areas. This restriction applies even if a human nominally approves the output without meaningful independent review.

06Acceptable use

Reasonable, security-conscious use of publicly documented functionality is allowed. If you discover a vulnerability, avoid accessing or changing other users’ data and report it to security@portunio.com.

• Do not submit unlawful, fraudulent, deceptive, defamatory, infringing, harassing, threatening, hateful, exploitative, sexually abusive, or privacy-invasive content.
• Do not spam, scrape, crawl, harvest contact data, send bulk or automated submissions, manipulate ranking or evidence, fabricate credentials, impersonate, coordinate inauthentic behavior, or repeatedly contact someone after a pass, block, or request to stop.
• Do not probe, scan, reverse engineer except where law expressly permits, bypass access controls or rate limits, introduce malware, interfere with the Service, use another user’s session, or attempt to reveal sealed or private identity information.
• Do not use Portunio to build surveillance, facial recognition, credit reporting, background screening, data-broker, advertising-profile, or weapons systems, or to train a competing model or service using data obtained from Portunio without our written permission.
• Do not use the Service for opportunities involving illegal goods or services, bribery, sanctions evasion, trafficking, exploitation, pyramid schemes, or transactions prohibited by applicable export-control, anti-corruption, or sanctions laws.

07Privacy, confidentiality, and sealed identity

Our Privacy Policy describes Portunio’s processing. The interface explains which profile or opportunity fields are public, visible to a participant, or private. You must respect those boundaries and use personal data received through Portunio only for the relevant opportunity, safety, compliance, or another lawful purpose disclosed to the person.

“Sealed identity” means that selected identity or contact information is concealed from the other participant until the applicable choice or stage. It does not mean anonymity from Portunio. We may process and, where legally justified, disclose information for authentication, fraud and abuse prevention, support, protection of rights and safety, valid legal process, or enforcement of this agreement.

Unless you separately agree with the other person, receiving an opportunity does not impose a duty of confidentiality on the receiver. Do not send trade secrets or information requiring a nondisclosure agreement through Portunio before appropriate protections are in place.

08Moderation, restrictions, and appeals

We may use automated signals and human review to detect abuse, qualify submissions, reduce visibility, return an incomplete opportunity to its sender, remove content, limit features, block delivery, preserve evidence, suspend or terminate an account, or report conduct when we reasonably believe these Terms or law may have been violated or action is needed to protect the Service or others.

We aim to act proportionately and, where practical and lawful, provide the affected user with the category of reason and an opportunity to correct information or appeal. We may act without advance notice in urgent, repeated, deceptive, security-sensitive, or legally restricted cases. Send an appeal with relevant context to legal@portunio.com. An appeal does not require us to restore content or access while review is pending.

Users may report unlawful or rights-violating content to legal@portunio.com with the URL or opportunity identifier, a clear explanation, supporting evidence, and contact information. Knowingly false or abusive reports violate these Terms.

09Portunio intellectual property and copyright reports

The Service—including its software, design, branding, documentation, taxonomies, and non-user content—is owned by Portunio or its licensors and protected by U.S. and international laws. Subject to these Terms, Portunio grants you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose. No other rights are granted.

If you believe content on Portunio infringes copyright, email legal@portunio.com with your signature; identification of the copyrighted work; identification and location of the allegedly infringing material; your contact details; a good-faith statement that the use is unauthorized; and a statement under penalty of perjury that the notice is accurate and you are authorized to act. We may remove the material, notify the user, accept an appropriate counter-notice, and terminate repeat infringers. A knowingly false notice may create liability.

Portunio and its logos are trademarks or trade dress of Portunio. Do not use them in a way that implies endorsement or causes confusion without written permission.

10Third-party services and communications

The Service relies on and may link to third-party authentication, hosting, database, storage, email, AI, public-profile, and website services. Their availability and independent services are governed by their own terms and privacy practices. Portunio is not responsible for third-party content or conduct, but remains responsible for its own legal obligations when it appoints a processor.

Transactional messages such as sign-in links, security notices, opportunity notifications, and service changes are part of the Service. You can adjust eligible notification settings, but cannot opt out of essential authentication, security, legal, or account messages while maintaining the relevant account.

11Fees, features, and changes

Portunio may offer free, beta, preview, or paid features. A paid feature will show its price, billing period, cancellation terms, taxes, and any additional terms before purchase. We will not charge you merely because a currently free feature later becomes paid. Except where law or displayed paid terms say otherwise, fees already earned are non-refundable.

We may add, change, suspend, or discontinue features for security, legal, technical, or business reasons. We will give reasonable notice when a change materially reduces a paid feature or requires action from you, unless urgent security or legal circumstances make advance notice impracticable. Beta and preview features may be less reliable and may change or end at any time.

12Termination and survival

You may stop using the Service at any time and may request account deletion through privacy@portunio.com. We may suspend or terminate access for a material or repeated breach, legal requirement, security risk, nonpayment, harm to another person, or discontinuation of the Service. Where appropriate, we will give notice and a chance to cure or appeal.

Termination ends your right to use the Service but does not erase rights or duties that by their nature should survive, including ownership, content licenses needed for lawful retention, payment obligations, disclaimers, liability limits, indemnity, dispute terms, and enforcement. Data handling after termination follows the Privacy Policy and applicable law.

13Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” PORTUNIO DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT UNINTERRUPTED, SECURE, ERROR-FREE, OR ACCURATE OPERATION, OR THAT CONTENT, AI OUTPUT, A USER, AN OPPORTUNITY, OR AN OUTCOME IS AUTHENTIC, COMPLETE, SAFE, OR SUITABLE.

Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded. You are responsible for independent diligence, professional advice where appropriate, backups of important content, and your communications, decisions, agreements, and transactions with other users.

14Limits of liability and indemnity

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORTUNIO AND ITS AFFILIATES, PERSONNEL, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY. PORTUNIO’S AGGREGATE LIABILITY ARISING OUT OF THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PORTUNIO FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT OR (B) US$100.

The exclusions and cap do not apply to liability that cannot lawfully be limited, which may include fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or non-waivable consumer rights. Some jurisdictions do not allow certain exclusions, so they apply only to the extent permitted there.

If you use the Service for an organization, you will defend and indemnify Portunio from third-party claims, losses, and reasonable costs arising from Your Content, your unlawful use, or your material breach of these Terms, except to the extent caused by Portunio. This obligation does not apply to an individual consumer where prohibited by law.

15Governing law and disputes

These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction, and each party consents to personal jurisdiction there. Before filing a claim, please send a description and requested resolution to legal@portunio.com and allow 30 days for a good-faith informal resolution.

This section does not prevent either party from seeking urgent injunctive relief, filing an eligible claim in small-claims court, or reporting a matter to a regulator. If you are a consumer outside the United States, mandatory protections and courts available under the law of your usual residence remain unaffected to the extent they cannot be waived by contract.

16General terms and contact

We may update these Terms. We will post the revised text with a new date and give prominent or direct notice before a material change takes effect when required. Continuing to use the Service after the effective date accepts the revised Terms; if you disagree, stop using the Service. Changes do not apply retroactively where prohibited.

You may not assign this agreement without our consent. We may assign it in connection with a merger, reorganization, financing, sale of assets, or by operation of law, subject to applicable notice duties. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be narrowed to the minimum extent necessary and the remainder stays effective. These Terms and incorporated policies are the entire agreement about the Service, and headings are for convenience only.
